1) Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Automatic Agent websites, software, APIs, hosted services, and related materials (the “Services”). By creating an account, clicking “I agree,” or using the Services, you agree to be bound by these Terms.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” and “your” mean that entity.

2) Eligibility

You must be at least 18 years old and legally capable of entering into contracts. You may not use the Services if you are barred under applicable laws or on any U.S. or other applicable sanctions lists.

3) Accounts & Security

• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activities under your account.
• You must promptly notify us of any unauthorized use.

4) Subscriptions, Trials & Fees

• Plans: Some features require a paid subscription.
• Billing: You authorize us to charge your payment method. Fees are non-refundable.
• Auto-renewal: Plans renew automatically unless canceled.
• Taxes: You are responsible for applicable taxes.

5) Beta & Experimental Features

Features marked as Alpha, Beta, Preview, or Experimental are provided “as-is” and may change or be discontinued at any time.

6) Your Content & Data

You retain ownership of content and data you provide (“Customer Content”).

• You grant us a license to process Customer Content solely to provide the Services.
• We do not use your proprietary content to train models unless you opt in.
• Our use of personal data is described in our Privacy Policy.

7) Acceptable Use

You will not use the Services to:

• Violate laws or third-party rights.
• Submit illegal, infringing, or harmful content.
• Reverse-engineer, probe, or scan the Services.
• Create malware, spam, or deceptive content.
• Deploy agents in high-risk scenarios without safeguards.

8) Third-Party Services & Integrations

Your use of third-party products is governed by their terms. We are not responsible for third-party services.

9) Service Levels & Support

Unless otherwise stated, the Services are provided without uptime guarantees. Support is available during business hours at support@automaticagent.io.

10) Intellectual Property

• We own the Services and related IP. No rights are transferred except as granted here.
• You own your outputs. You are responsible for their use.
• Feedback may be used by us to improve the Services.

11) AI-Specific Considerations

• Outputs may be inaccurate or incomplete — human oversight is required.
• You must ensure compliance with laws and third-party rights.
• Safety monitoring is required when deploying autonomous agents.

12) Confidentiality

Each party will protect the other’s confidential information and only use it to perform under these Terms.

13) Publicity

We may identify you as a customer (name and logo) unless you opt out via hello@automaticagent.io.

14) Compliance & Export

You will comply with all applicable laws, including export controls and sanctions.

15) Term & Termination

• These Terms remain in effect until your account is closed.
• Either party may terminate for material breach with notice.
• We may suspend or terminate immediately for security, legal, or payment reasons.

16) Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE OR ERROR-FREE.

17) Limitation of Liability

EACH PARTY’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

18) Indemnification

You will defend and indemnify Automatic Agent from third-party claims related to your use of the Services or your content.

19) Modifications

We may update these Terms from time to time. Continued use constitutes acceptance of the new Terms.

20) Force Majeure

Neither party is liable for delays caused by events beyond reasonable control.

21) Assignment

You may not assign these Terms without consent, except in cases of merger or acquisition. We may assign freely.

22) Notices

Notices to us must be sent to legal@automaticagent.io. We may notify you by email or via the Services.

23) Entire Agreement

These Terms, along with the Privacy Policy and any additional agreements, constitute the entire agreement between you and Automatic Agent.
